1. TGCA Structure

In 2015 The Gospel Coalition Australia (TGCA) was launched. Its vision; to promote faithful, persevering, Christ-honouring, Bible-driven, Spirit-empowered, gospel-centred ministry across Australia.

TGCA is a separate entity from The Gospel Coalition (TGC) but shares the same 'theological DNA'. Operation and governance of TGCA is overseen by the TGCA Council. Four members of the Council perform the role of an Executive, along with the CEO and Company Secretary.

The role of Company Secretary is to work closely with the CEO and other Council Members to maintain the administration and corporate secretarial requirements of TGCA.

This document outlines the roles, responsibilities of the Company Secretary for TGCA.

2. Summary of the purpose of the position

The Company Secretary of the Gospel Coalition Australia (TGCA) is accountable for:

a) All administration and corporate secretarial matters
b) Adhering to relevant charity, not-for-profit and statutory regulations in Australia
c) Maintain company records (financial and legal)
d) Consulting to TGCA Executive and Council Members as required

3. Reporting and Working relationships

The Company Secretary of TGCA will report to the CEO, and Chairman of the Council, and be a non-voting member of the TGCA Executive.

They will be the first point of contact for all financial and secretarial enquiries, and work closely with other professionals and volunteers who support the organisation, to manage our financial affairs and company responsibilities.

4. Special Conditions

The Company Secretary of TCGA is an unpaid, volunteer position and will satisfy the following conditions:

a) To be enthusiastically committed to the theological vision for ministry and confessional statement of TGCA
b) Be an active member of a local church
c) Be subject to a National Police check
d) Accept the requirement to be an Office Bearer of the company- The Gospel Coalition Australia Ltd (limited by guarantee)
e) Be available for video meetings with CEO (monthly) and/or other relevant members and contacts (as needed)
f) Have an understanding of the administration requirements of an organisation

5. Key Outcomes and Activities

5.1 To work closely with the CEO on administration issues and matters relevant to the operations of the organisation.

a) Direct and prepare resolutions relating to financial matters for approval by the TGCA Executive.
b) Advise CEO and TGCA Executive on financial and/or legal matters
c) Assist with projects as required, such as grant reporting and submissions

5.2 Authorised bank signatory and contact with banks, insurance providers, statutory authorities and external legal team

a) Joint bank signatory on all TGCA bank accounts (National and Chapter accounts)
b) Main contact with banks, set up new TGCA bank accounts with bank manager and other nominated signatories
c) Main contact for ATO, ASIC and ACNC matters relating to lodgements, company officer changes, business details and other regulations
d) Main contact with insurance broker on insurance matters, annual renewals and coverage
e) Assist with external legal team on employment contracts, not-for-profit concessions and matters as they arise.

5.3 To work closely with our external bookkeeper on all financial matters, paying invoices as required, and liasing with bank signatories of other TGCA Chapter committees.

a) Review financial statements and preparation of annual budgets for the organisation (Xero Cloud software)
b) Monitor funds in bank account and ensure company remains solvent
c) Direct and advise bank signatories of individual TGCA Chapters on their obligations and assist with enquiries
5.4 Organise and manage the annual audit of the organisation's financial statements to meet ACNC and state government regulations. Primary contact with external auditors.
a) Ensure paper/document trail of all income and expenses of the organisation is kept and recorded
b) Ensure audit is completed within requirements of the constitution

5.5 Manage donor enquiries and assist with correspondence and enquiries

a) Setup and/or cancel recurring donor payments as authorised
b) Process donor payments over telephone as required (using eWay payment gateway)

6. Statement of Skills and Experience Required

6.1 Demonstrated skills in:

a) Administration of an organisation, either in a not-for-profit or commercial environment
b) Understanding of financial information and exposure to cloud accounting packages (e.g. Xero, MYOB)
c) Understanding of online payment gateways, event management systems and interaction with financial reporting (e.g. eWay, EventBrite, TryBooking, Stripe)
d) High level of experience with computer applications such as Microsoft Office, Email, Internet Banking, document-sharing and filing systems, video conferencing
e) Maintaining documents and company records

6.2 Demonstrated experience:

a) Dealing with confidential financial and legal information
b) Trustworthy with financial management and funds
c) Able to work unsupervised and independently
d) Implementing new and innovative ideas and concepts.
e) Willingness to learn
f) Consistent Christian life, witness and a serving heart
g) Ability to work respectfully and well with others

7. Terms of Appointment

The Company Secretary is nominated and re-appointed annually at the Annual General Meeting.

8. Character and Work References

It is recommended that a minimum of 2 references be provided, to support the character and work requirements of this role.
